This Arbitration Terms of Service ("Arbitration Agreement") is a legally binding contract between you ("User," "you," or "your") and [Company Name], a company organized and existing under the laws of Hong Kong, with its principal place of business at HK28, 21/F CMA Building, 64 Connaught Rd, Central, HKSAR ("Company," "we," "our," or "us"). 1. Dispute Resolution by Arbitration
1.1. Mandatory Arbitration. You and the Company agree to resolve any and all disputes, controversies, or claims arising out of or relating to the Services, including but not limited to any purchase, sale, or use of products or services offered through the platform, through final and binding arbitration.
1.2. Exclusions. Notwithstanding the above, this Arbitration Agreement shall not apply to (a) any disputes related to intellectual property rights, including but not limited to copyright, trademarks, or patents, or (b) actions seeking injunctive relief or other equitable remedies in connection with the alleged unauthorized use or misuse of the Company's intellectual property.
2. Arbitration Process
2.1. Initiation of Arbitration. In the event of a dispute covered by this Arbitration Agreement, either party may initiate arbitration proceedings by providing written notice to the other party. Such notice shall include a clear and concise statement of the dispute and the relief sought
2.2. Appointment of Arbitrator. The arbitration shall be conducted by a single arbitrator selected by mutual agreement of the parties. If the parties are unable to agree on an arbitrator within thirty (30) days of the initiation of arbitration, the arbitrator shall be appointed by the Hong Kong International Arbitration Centre ("HKIAC") in accordance with its rules.
2.3. Arbitration Location. The arbitration proceedings shall take place in Hong Kong unless otherwise agreed by the parties in writing.
2.4. Governing Rules. The arbitration shall be conducted in accordance with the arbitration rules of the HKIAC in effect at the time of the initiation of the arbitration, subject to any modifications or amendments agreed upon by the parties.
3. Arbitration Award
3.1. Final and Binding. The arbitrator's decision and award shall be final and binding on both parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
3.2. Award Remedies. The arbitrator may award any remedy or relief that a court of competent jurisdiction could order or grant, including but not limited to monetary damages, injunctive relief, and specific performance.
4. Waiver of Class Actions and Collective Proceedings
4.1. Waiver. You and the Company agree that any arbitration will be conducted on an individual basis, and not on a class, collective, or representative basis. There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class, collective, or representative action.
4.2. Waiver of Right to Jury Trial. To the fullest extent permitted by law, you and the Company waive any right to a jury trial in any dispute arising out of or relating to the Services or this Agreement.
5.1. Severability. If any provision of this Arbitration Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
5.2. Governing Law. This Arbitration Agreement shall be governed by and construed in accordance with the laws of Hong Kong, without giving effect to its conflict of laws principles.
5.3. Modification. The Company reserves the right to modify or amend this Arbitration Agreement at any time. Any such modifications or amendments shall be effective upon their posting on the Company's website or providing notice to you.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Arbitration Agreement. If you do not agree to this Arbitration Agreement, you must discontinue your use of the Services immediately.
